Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DineHarbor platform, websites, and related services (collectively, the "Services") provided by Respiresoft LLC. By creating an account or using the Services, you agree to be bound by these Terms.

1. Eligibility & account

You must be at least 18 years old and authorized to bind your business to enter into these Terms. You are responsible for activity under your account and for keeping credentials secure.

2. Subscriptions & billing

Paid plans renew automatically until cancelled. Fees are non-refundable except where required by law. Taxes are your responsibility unless we are required to collect them.

3. Acceptable use

You will not misuse the Services, attempt to bypass security, reverse engineer the platform, or use it to process unlawful transactions.

Neither you nor anyone you add to your account may use staff chat, or any other part of the Services, to send content that is abusive, harassing, hateful, sexually explicit, threatening or unlawful. There is no tolerance for objectionable content or abusive users. Anyone can report a chat message from its menu, and block a colleague. Reports reach the restaurant's owners and managers and us; we review them within 24 hours, and may remove the content and suspend the person responsible. You are responsible for the people you add to your account and what they do with it.

4. Customer data

You retain all rights to your data. We process it on your behalf as our Privacy Policy describes; a data processing agreement is available on request.

4a. The apps

These Terms also cover the DineHarbor apps and the ordering app a restaurant publishes on DineHarbor. If you download an app from Apple's App Store, Apple's standard Licensed Application End User License Agreement applies as well; Apple is not responsible for the apps or their support.

5. Service availability

We aim to keep the Services available at all times but do not guarantee uninterrupted access. The Services are provided "as is" without warranties of any kind beyond those required by law.

6. Termination

You may cancel anytime. We may suspend or terminate accounts for breach of these Terms or fraudulent activity, with prior notice where reasonable.

7. Limitation of liability

To the maximum extent permitted by law, Respiresoft LLC's aggregate liability is limited to the fees you paid in the 12 months preceding the claim.

8. Governing law

These Terms are governed by applicable law, without regard to conflict-of-law principles.
